Welcome to Verve AI.
By accessing or using Verve AI (the “Service”), you agree to these Terms & Conditions (“Terms”). These Terms govern your use of Verve AI’s inventory forecasting and planning software, including integrations with Shopify and WooCommerce.
If you do not agree to these Terms, please do not use the Service.
Verve AI is designed to help merchants make better inventory decisions — not to replace professional judgment.
🧠 Description of the Service
Verve AI provides:
Inventory and demand forecasting tools
Analytics and insights based on historical store data
Optional beta features, experiments, and early-access tools
The Service connects to your store via approved APIs (e.g. Shopify API, WooCommerce REST API) and processes store-level data to generate forecasts and insights.
🧪 Beta Use & Early Access
Some or all features of Verve AI may be offered as part of a beta or early-access program.
During beta:
Features may change, be removed, or behave unexpectedly
Forecast accuracy is not guaranteed
Downtime or bugs may occur
Beta access is provided “as is”, and you acknowledge the experimental nature of the Service during this phase.
👤 Eligibility & Account Responsibility
By using Verve AI, you confirm that:
You are authorised to act on behalf of the connected store
You have permission to grant API access to store data
You are at least 18 years old
You are responsible for:
Maintaining the security of your account
Revoking access if you no longer wish to use the Service
All activity that occurs through your account
🔌 Platform Integrations
Shopify
Access is granted via OAuth
Verve AI complies with Shopify’s API and data usage requirements
Customer personal data is not stored
WooCommerce
Access is granted via API keys generated by the merchant
WordPress admin credentials are never stored
API access can be revoked at any time
You retain full ownership of your store data at all times.
🔐 Data Use & Privacy
Your use of the Service is also governed by our Privacy Policy, which explains:
What data we collect
How data is used
How data is protected
Your rights under UK & EU GDPR
We collect only the minimum data required to deliver the Service and never sell or monetise merchant data.
📉 Forecasting Disclaimer
Verve AI provides decision-support tools only.
You acknowledge that:
Forecasts are estimates based on historical data and assumptions
Results may vary due to seasonality, promotions, supplier issues, or external factors
You remain fully responsible for purchasing, inventory, and financial decisions
Verve AI does not provide financial, accounting, legal, or investment advice.
🚫 Prohibited Use
You agree not to:
Reverse engineer or attempt to extract source code
Use the Service for unlawful or abusive purposes
Interfere with system performance or security
Use Verve AI to compete directly with the Service
Misrepresent Verve AI outputs as professional advice
We reserve the right to suspend or terminate access for misuse.
💳 Billing, Cancellation & Refunds
If you move from beta to a paid plan:
Pricing will be clearly disclosed before billing begins
Subscriptions can be cancelled at any time
Access remains until the end of the billing period
No refunds are provided for partial periods unless required by law
Beta access may be offered free or discounted at Verve AI’s discretion.
⏳ Data Retention & Termination
You may stop using Verve AI at any time by:
Disconnecting your store
Cancelling your subscription
Requesting deletion via email
Upon termination:
API access tokens are revoked
Data is deleted in accordance with our Privacy Policy
Some anonymised, aggregated metrics may be retained for product improvement
🛠 Availability & Changes
We aim to keep Verve AI available and reliable, but:
We do not guarantee uninterrupted service
Maintenance or updates may occur without notice
Features may evolve over time
We may update these Terms occasionally. Continued use after changes means you accept the updated Terms.
⚖️ Limitation of Liability
To the fullest extent permitted by law:
Verve AI is not liable for indirect, incidental, or consequential losses
We are not responsible for lost profits, stock decisions, or business outcomes
Total liability is limited to the amount paid for the Service in the preceding 12 months
Nothing in these Terms limits liability where it cannot be excluded under law.
🌍 Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
